Please read these terms carefully before using the Seraph platform. By creating an account you agree to be bound by them.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Seraph platform, website, and related services (collectively, the "Service") operated by Seraph, Inc. ("Seraph", "we", "our", or "us"). By accessing or using the Service, creating an account, or clicking "I agree," you agree to be legally bound by these Terms. If you do not agree, do not use the Service.

These Terms incorporate by reference our Privacy Policy and Cookie Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Seraph is an AI-powered site optimization platform that audits websites across SEO, LLMO (Large Language Model Optimization), Schema markup, Performance, and Trust signals. The Service generates scored reports, prioritized findings, and LLM-ready fix prompts designed to assist users in improving their site's visibility in traditional search engines and AI answer systems.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.

3. Account Registration

To access most features of the Service, you must create an account. You agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) keep your password secure and confidential; and (d) notify us immediately of any unauthorized use of your account at security@seraph.ai.

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. Seraph is not liable for any loss resulting from unauthorized account access where you have failed to maintain the security of your credentials.

You agree not to use the Service to:

We reserve the right to suspend or terminate accounts that violate these restrictions, without notice or refund.

5. Subscription and Billing

Seraph offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at checkout. By providing payment information, you authorize us to charge your chosen payment method on the applicable billing cycle.

All fees are stated in US dollars and are non-refundable except as required by applicable law or as expressly stated in our refund policy. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period and you will retain access until that date. We reserve the right to modify pricing with 30 days' notice; continued use after the effective date of a price change constitutes acceptance of the new price.

6. Intellectual Property

The Service, including its software, algorithms, design, text, graphics, and other content, is owned by Seraph and protected by copyright, trademark, patent, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your subscription term.

You retain ownership of any content (URLs, site data, custom configurations) you submit to the Service. By submitting such content, you grant Seraph a limited license to process it solely for the purpose of delivering the Service to you. We do not use your site-specific data to train machine learning models or share it with third parties except as described in our Privacy Policy.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described therein.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SERAPH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Seraph's audit scores and recommendations are informational in nature. We do not guarantee specific outcomes, including improvements in search rankings, LLMO citations, or conversion rates, as a result of following our recommendations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERAPH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

10. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account. We may terminate or suspend your access immediately, without notice, if you breach these Terms, fail to pay applicable fees, or engage in conduct we determine, in our sole discretion, to be harmful to other users or the Service.

Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 9, 10, and 11 survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.
